On March 16, 2026, GNQ Insilico Inc., an Ontario-based company focused on drug development through the convergence of AI and quantum computing, entered into a definitive business combination agreement with IB Acquisition Corp., a Nevada-based special purpose acquisition company, pursuant to which IB Acquisition will acquire all of the issued and outstanding shares of GNQ by way of a statutory plan of arrangement under the Canada Business Corporations Act. The transaction includes an exchangeable share component, pursuant to which certain GNQ shareholders may elect to receive shares of a Canadian exchange vehicle rather than direct shares of IB Acquisition (such exchangeable shares intended to facilitate a tax deferral for Canadian shareholders). Following closing of the transaction, the combined company is expected to be publicly listed on the NASDAQ. The transaction is expected to close in the third quarter of 2026, subject to the satisfaction of customary closing conditions, including shareholder, court and regulatory approvals.
The transaction values GNQ at US$500 million. Current GNQ shareholders will also have the opportunity to receive additional consideration through revenue-based and share-price-based earnout provisions. The transaction includes a PIPE of up to US$10 million and a bridge financing of up to US$2.0 million through convertible promissory notes and warrants.
