James Lyle is a partner in the Securities Group at Cassels. James’ practice focuses on corporate finance and other general corporate and securities law matters. James has extensive capital markets experience, regularly acting for both issuers and investment banks in connection with public offerings and private placements of equity securities, as well as in connection with pre-public and going-public transactions. In addition to his transactional work, James advises on Canadian stock exchange and continuous disclosure matters. James represents clients across a range of industries, with an emphasis on exploration and development-stage mining companies.
James’ representative work includes acting as counsel for:
- A syndicate of Underwriters in connection with a $431 million public offering of Capstone Copper Corp.
- A syndicate of Underwriters in connection with a US$402 million MJDS cross-border public offering of Hudbay Minerals Inc.
- Montage Gold Corp. in connection with its $30 million initial public offering and various private placement financings, including a $17 million strategic investment by the Lundin Family Trusts
- NextSource Materials Inc. in connection with a US$29.5 million strategic investment by Vision Blue Resources Ltd. and a $50 million overnight marketed public offering
- Various issuers and syndicates of Underwriters in connection with “flow-through” equity offerings for Canadian exploration mining companies
James received his J.D. from Western University. Prior to law school, James graduated with a Bachelor of Science in Business Administration (Economics) from Robert Morris University in Pittsburgh, PA, where he played hockey at the NCAA Division-1 level, serving as a team captain in his final season.
