Ben McLaughlin is an associate in the Securities Group at Cassels. His practice is focused on corporate and securities law, with a particular emphasis on corporate finance and mergers and acquisitions. Ben acts for issuers and investment dealers in mergers and acquisitions, public securities offerings, private placements, spin-offs, and going-public transactions. He regularly assists clients with corporate governance, continuous disclosure, and regulatory compliance matters. He has acted for clients across a range of industries, including mining, cannabis, technology, healthcare, and cryptocurrency.

Ben’s representative work includes acting for:

  • Lithium Americas Corp. on its spin-off of its Nevada and Argentine lithium assets into two public companies with market capitalizations in excess of $1 billion
  • Latitude Uranium Inc. on its plan of arrangement with ATHA Energy Corp., with an implied company value of $267 million following the completion of both the arrangement and ATHA’s scheme of implementation with 92 Energy Limited
  • G2 Goldfields Inc. on its $22 million strategic investment by AngloGold Ashanti plc
  • Troilus Gold Corp. on its $15 million bought deal public offering
  • Generation Mining Limited on its $15 million bought deal public offering
  • Canaccord Genuity Corp. and a syndicate of underwriters on Li-FT Power Ltd.’s $12.4 million public offering of flow-through shares
  • A leading private equity sponsor on several leveraged buyouts and strategic investments in healthcare services/delivery and technology

Ben earned his J.D./M.B.A. at Osgoode Hall Law School and Schulich School of Business, and his B.A. (Honours) at Queen’s University. While at Osgoode, Ben was a caseworker with the Osgoode Venture Capital Clinic and on the executive of the Osgoode OUTLaws. Prior to joining Cassels, Ben was a corporate and securities associate at another national firm.
