Andrea FitzGerald* is a partner in the Capital Markets Group at Cassels. Andrea specializes in securities law with a focus on mergers and acquisitions and corporate finance. Andrea acts as lead counsel for companies as well as investment dealers, providing legal and strategic advice in connection with public and private securities offerings and mergers and acquisition transactions, including SPAC transaction, plans of arrangement, takeover bids, and spin-off transactions. Andrea also has experience advising boards of directors and special committees. Andrea’s practice is international in scope and she has extensive experience as a trusted advisor on complex domestic and international cross-border transactions. In addition to her transactional practice, Andrea regularly advises clients on stock exchange and securities regulatory compliance as well as corporate governance matters.
Andrea is an active member of the firm’s Mining Group and the Audit & Risk Management Committee. Andrea has extensive expertise in the resource sector, and serves on the Canadian Securities Administrators’ (CSA) Mining Technical Advisory and Monitoring Committee, facilitating communication between the CSA and the mining industry and advising the CSA on industry and professional developments related to securities regulatory matters. Andrea has lectured in Latin America on North American capital markets, has been a course leader and speaker for Federated Press on securities compliance matters, and a presenter at TSX Ignite events targeted at emerging small- and medium-sized enterprises preparing to go public. Additionally, she teaches Mine Finance as part of the Mining Law and Sustainability program at Western University Law School. She is listed as a leader in her field by Best Lawyers in Canada and the Canadian Legal Lexpert Directory.
