Florence Lau is an associate in the Capital Markets Group at Cassels, specializing in securities and corporate law. Florence’s practice focuses on corporate finance, mergers and acquisitions, and regulatory compliance including corporate governance, continuous disclosure, compensation plans and Canadian stock exchange related matters. Florence routinely represents issuers as well as investment dealers in a variety of transactions, including mergers and acquisitions, spin-off transactions, going-public and -private transactions, stock exchange listings, as well as equity financings. She has acted for clients across a range of industries, with particular exposure to mining, technology and cannabis.

  • Contact Gold in its acquisition by Orla Mining by way of a statutory plan of arrangement
  • Lithium Americas in its separation into Lithium Americas and Lithium Argentina, both of which are dual-listed on the Toronto Stock Exchange and the New York Stock Exchange, by way of a “butterfly” reorganization
  • Lithium Americas in its acquisition of Millennial Lithium for approximately $491 million by way of a statutory plan of arrangement

Going-Public Transactions

  • EvokAI Creative Labs in its reverse takeover of Sebastiani Ventures and its listing on the TSX Venture Exchange
  • Churchill Resources in its qualifying transaction with 9 Capital and its subsidiary and its listing on the TSX Venture Exchange
  • Collective Mining in its $15 million subscription receipt financing, qualifying transaction with POCML 5 and its subsidiary, and its listing on the TSX Venture Exchange

Corporate Finance

  • Integra Resources in its US$11 million overnight marketed offering and drawdown of a US$10 million initial advance from its US$20 million convertible loan facility

Florence is a graduate of the University of Toronto, where she received both her Bachelor of Arts (Honours) degree as Gold Medalist and her Juris Doctor degree. Prior to commencing her legal career at Cassels, Florence had spent time working in corporate law in the Beijing office of a multinational law firm and in policy development at the Ontario Ministry of Attorney General.
