Shae Rothery (she/her/hers) is an associate in the Banking & Specialty Finance Group at Cassels. Shae’s practice focuses on corporate and commercial law, including domestic and cross-border financing transactions. Shae has experience working with lenders and borrowers on a broad range of debt finance matters, including acquisition financings, equipment financings, and fund financings. Shae is developing expertise in aviation finance and has experience advising lenders, lessors, purchasers, and operators on aircraft acquisition, sale, leasing, and financing, as well as aviation-specific regulatory considerations. Shae takes a pragmatic approach to her work, delivering practical and client-focused solutions to complex problems.

Aviation and Equipment Finance
- A subsidiary of a publicly traded (TSXV) corporation on the acquisition, financing, and sale of various fixed-wing, rotary-wing, turboprop, and jet aircraft
- Various purchasers in connection with the acquisition, import, and Canadian registration of various Gulfstream business jets
- Various Canadian Chartered Banks in connection with aircraft loan facilities and aircraft lease agreements, including lease payouts and discharge of security
- A leading US structured finance company in connection with several issuances of asset-backed securities totalling over US$2 billion in the aggregate
- Alvarez & Marsal Canada Inc. in its role as court-appointed manager over syndicated collateral assets of the Pride Group Holdings Inc. group of entities
Fund Finance
- A Canadian Chartered Bank in connection with a $25 million subscription credit facility in favour of a Canadian investment fund
- A Canadian Chartered Bank, as lead arranger and lender, in connection with a $15 million subscription credit facility in favour of a U.S. investment fund
Debt Finance
- A Canadian Chartered Bank, as administrative agent, in connection with syndicated credit facilities totalling over $200 million in favour of a Canadian asset management firm
- A Canadian private credit lender, as administrative agent and lender, in connection with a revolving credit facility totalling $30 million in favour of a Canadian pharmaceutical manufacturer
Before joining Cassels as an associate, Shae summered and articled with the firm. Shae graduated with a J.D. from the University of Toronto and completed as semester abroad at Trinity College Dublin. Prior to law school, Shae graduated with First Class Honours from the University of Calgary, earning a Bachelor of Health Sciences in Biomedical Sciences.
