Shae Rothery (she/her/hers) is an associate in the Banking & Specialty Finance Group at Cassels. Her practice focuses on domestic and cross-border debt finance transactions. She acts for lenders and borrowers on a broad range of bilateral and syndicated debt financings, including acquisition financings, fund financings, and equipment financings, with a particular emphasis on aircraft transactions. She routinely advises lenders, lessors, purchasers, and operators in connection with aircraft acquisitions, sales, leasing, financing, and related commercial and regulatory matters. She takes a pragmatic and commercially minded approach to her work, providing practical, client-focused solutions to complex matters.

Aviation and Equipment Finance
- A subsidiary of a publicly traded (TSXV) corporation on the acquisition, financing, and sale of various fixed-wing, rotary-wing, turboprop, and jet aircraft
- Various purchasers in all aspects of acquisition, financing, import, and Canadian registration of Bombardier, Dassault, Embraer and Gulfstream business jets
- Various Canadian Chartered Banks in connection with aircraft loan facilities and aircraft lease agreements, including lease payouts and discharge of security
- A leading U.S. structured finance company in connection with several issuances of asset-backed securities totalling over US$2 billion in the aggregate
- Alvarez & Marsal Canada Inc. in its role as court-appointed manager over syndicated collateral assets of the Pride Group Holdings Inc. group of entities
Fund Finance
- An American bank, as arranger, in connection with a US$1 billion NAV facility in favour of an Alberta limited partnership
- An American bank, as administrative agent, in connection with a US$200 million subscription credit facility in favour of an Ontario limited partnership
- A Canadian Chartered Bank in connection with a $25 million subscription credit facility in favour of a Canadian investment fund
- A Canadian Chartered Bank, as lead arranger and lender, in connection with a $15 million subscription credit facility in favour of a U.S. investment fund
Debt Finance
- A Canadian Chartered Bank, as administrative agent, in connection with syndicated credit facilities totalling over $200 million in favour of a Canadian asset management firm
- A Canadian private credit lender, as administrative agent and lender, in connection with a revolving credit facility totalling $30 million in favour of a Canadian pharmaceutical manufacturer
Before joining Cassels as an associate, Shae summered and articled with the firm. Shae graduated with a J.D. from the University of Toronto and completed a semester abroad at Trinity College Dublin. Prior to law school, Shae graduated with First Class Honours from the University of Calgary, earning a Bachelor of Health Sciences in Biomedical Sciences.
