Reid Crombie is a partner in the Business Law Group at Cassels. His practice includes advising clients on a wide range of corporate and transactional matters, including share and asset acquisitions and divestitures, equity financings, recapitalizations, and corporate restructurings. Reid assists clients in navigating complex transactions and provides practical guidance aligned with their business objectives.

Reid works extensively with private equity and venture capital clients, including the formation and structuring of private investment funds, investments and cross-border transactions as well as liquidity transactions in the secondaries market, including continuation funds and LP-led transactions.

Reid also advises companies on matters relating to corporate formation, governance, structure, financing and general commercial matters. He works with emerging and high-growth companies at all stages of development, assisting founders and management teams with early-stage structuring, capital raising, and strategic transactions.

He represents clients across a variety of industries, including consumer products and branded businesses, food and beverage, software and technology, mining and energy, cannabis, medical equipment, industrial services and manufacturing, life sciences, biotechnology, and aviation. This range of experience allows him to support clients with industry-specific considerations while maintaining a broad transactional perspective.

  • a US public company in the strategic acquisition of a manufacturer of specialized equipment in the heating, ventilation and air conditioning industry from its shareholders and the negotiation of a strategic distribution agreement with a selling shareholder
  • a Canadian investment management company accelerating the adoption of healthy and sustainable foods, on the formation, organization, fundraising, acquisitions and liquidity event of their investment funds
  • a manager of a group of investment funds on their formation, organization, fundraising, acquisitions and liquidity event, as well as regular day-to-day operations.
  • a Canadian private equity fund on their secondary investment in a leading Canadian technology and logistics company
  • a UK-based biotechnology company on a strategic acquisition of Canadian based biotechnology company specializing in nanopore technology development and a subsequent strategic partnership with a Canadian university
  • a US-based private equity fund in the acquisition of the Canadian operations of an industrial service-based company
  • a Canadian distribution company through their bankruptcy and insolvency proceedings and the sale of the assets to a third party, along with advising on the negotiation of continued ownership for the shareholders

  • a Canadian food services company in its acquisition of a majority share in a catering and restaurant business known for its creative menus and dynamic presence at Toronto’s most prestigious venues and events
  • a Canadian based tech-enabled insight and strategy company in the sale of a majority stake of the company to leading North American private equity firm

Reid is a graduate of the combined JD/MBA program at the University of Western Ontario. Prior to joining Cassels, Reid developed his career at another prominent national firm, where he gained in-house experience during a secondment to an US based innovation organization focused on city building using technology-driven solutions.
