Jonathan J. Chandler

Jonathan Chandler* is a partner in the Securities Group at Cassels. Jonathan is also an active member of the firm’s Mining and Mergers & Acquisitions Groups. His practice focuses on mergers and acquisitions and corporate finance in the mining industry. Jonathan specializes in the representation of public mining companies in a variety of domestic and cross-border transactions, including M&A transactions, business combination transactions, public offerings and other finance transactions. He also has extensive experience advising on a range of commercial agreements for mining clients, including earn-in agreements, property option agreements, shareholder agreements and royalty agreements.

In addition, Jonathan is a trusted advisor to many mining clients at every stage of development, including exploration and development companies, early-stage junior mining clients and established senior producers, in connection with their day-to-day securities law matters, including continuous disclosure obligations, corporate governance and regulatory compliance.

Jonathan has been involved in numerous industry-leading transactions in the mining industry, including acting for:

  • Yamana Gold Inc. on its US$4.8 billion acquisition by Pan American Silver Corp. and Agnico Eagle Mines Limited and on its US$6.7 billion proposed acquisition by Gold Fields Limited
  • Kirkland Lake Gold Ltd. on its business combination with Agnico Eagle Mines Limited, creating a senior gold producer with a market capitalization of US$22.4 billion and on its $4.9 billion acquisition of Detour Gold Corporation
  • Goldcorp Inc. on its US$10 billion acquisition by Newmont Mining Corporation
  • Wheaton Precious Metals Corp. on its renewal of its US$300 million at-the-market equity program
  • Sandstorm Gold Ltd. on its launch of its US$140 million at-the-market equity program and its subsequent renewal and on its US$92 million bought deal financing
  • Orla Mining Ltd. on its $242 million acquisition of Gold Standard Ventures Corp.
  • Filo Corp. on its $100 million strategic investment by an affiliate of BHP Group Limited and its $130 million private placement
