Sun Metals Completes Acquisition of Lorraine


On April 12, 2019, Sun Metals Corp. completed a plan of arrangement under the Business Corporations Act (British Columbia), pursuant to which Sun Metals acquired all the issued and outstanding common shares of Lorraine Copper Corp. Shareholders of Lorraine received 0.54 of a common share of Sun Metals for every Lorraine share held.

The arrangement was implemented through a triangular amalgamation in which Tsayta Resources Corporation, a wholly-owned subsidiary of Sun Metals, amalgamated with Lorraine to become a wholly-owned subsidiary of Sun Metals.

Cassels acted for Sun Metals with a deal team that included Jeff Durno, Samantha Prest and Sam Chapman (Securities, Mining and M&A) and Chris Norton and Tera Li Parizeau (Tax).
