On May 1, 2019, Sika Canada Inc. and Sika Corporation (collectively, Sika), a speciality chemicals company, acquired the Packaged Materials Business of KPM Industries Ltd. (d/b/a King Packaged Materials Company) and King Shotcrete Equipment Inc. (collectively, KPM). In connection with the sale to Sika, KPM completed a corporate reorganization pursuant to which it transferred each of its business divisions into new, wholly-owned subsidiaries. Each of KPM’s construction and paving division, fabricating division and aggregates division, will remain under the previous ownership.
Cassels acted for KPM with a deal team that included Gary Steinhart, Jeff Mikelberg and Amanda Metallo (Business Law), Kristin Taylor (Employment & Labour), Peter Sullivan, Bryan Woodman and Richard Ngo (Financial Services), Marisa Keating (Municipal, Planning & Environmental), Jim Morand, Andrew Reback and Tera Li Parizeau (Tax) and Rob Lysy and Lucas Blair (Real Estate & Development).
