On April 28, 2023, Atlas Global Brands Inc. completed the acquisition of GreenSeal Cannabis Company, Ltd. and GreenSeal Nursery, Ltd., by way of a share purchase agreement.
Pursuant to the terms of the transaction, and as consideration for the purchase of all of the issued and outstanding shares in the capital of GreenSeal, Atlas Global issued an aggregate of 7,612,358 common shares in the capital of Atlas Global to the shareholders of GreenSeal, at an issue price per share equal to $0.4374. A further 2,387,642 common shares have been reserved by Atlas Global for issuance to the GreenSeal vendors in connection with certain withholding obligations. Up to an additional 1,500,000 shares may be issued to the GreenSeal Vendors at the 12-month anniversary of the closing date of the transaction based on the then volume weighted average closing price of the Atlas Global common shares.
