Goldcorp Completes Sale of Camino Rojo Oxide Project


On November 7, 2017, Goldcorp Inc. completed the sale of its interest in the Camino Rojo oxide project, located in Zacatecas, Mexico to Orla Mining Ltd. As consideration for the sale, Goldcorp indirectly acquired 31,860,141 common shares of Orla, which represents approximately 19.88% of the issued and outstanding Orla shares immediately following the closing of the transaction, and a 2% net smelter royalty. In addition, Goldcorp and Orla have entered into an option agreement regarding the potential development of multiple sulphide operations at Camino Rojo whereby Goldcorp will, subject to the applicable sulphide project meeting certain thresholds, have an option to acquire a 60% or 70% interest in the applicable sulphide project.

Goldcorp was represented internally by Randall Chatwin, Vice President, Assistant General Counsel, Andrew Spencer, Legal Counsel, Abel Martinez, Legal, Goldcorp Mexico, and Alejandro Guevara, Legal, Goldcorp Mexico. Cassels acted as external counsel for Goldcorp with a deal team that included Darrell Podowski, John Christian and Stefanie Sebanc (Securities, Mining and Mergers & Acquisitions).
