On March 23, 2021, Troilus Gold Corp., a TSX listed company, announced it entered into a definitive agreement with UrbanGold Minerals Inc., a TSXV listed company, pursuant to which Troilus agreed to acquire all of the issued and outstanding common shares of UrbanGold that it does not currently own, by way of share exchange. The transaction is structured as a three-cornered amalgamation under the Canada Business Corporations Act pursuant to which, subject to receipt of all applicable regulatory and shareholder approvals, UrbanGold will amalgamate with a new wholly-owned subsidiary of Troilus and become a subsidiary of Troilus.
