On June 11, 2020, 12 Exploration Inc. and 79North Ltd. completed non-brokered private placements for aggregate gross proceeds of approximately $4.6 million. Pursuant to the offerings, 12 Exploration issued an aggregate of 3,979,999 subscription receipts and 79North issued an aggregate of 26,501,656 subscription receipts, each at a price of $0.15 per subscription receipt. Concurrent with the offerings, 79North completed a private placement of 2,253,333 units at a price of $0.15 per unit for additional gross proceeds of $338,000.
