Andrea FitzGerald* is a partner in the Business Law Group at Cassels. Andrea specializes in securities law and acts as lead counsel for companies involved in initial public offerings, mergers, acquisitions, special purpose acquisition company (SPAC) transactions, takeover bids, going-private transactions, spin-off transactions, corporate reorganizations, corporate finance, and corporate governance matters. In addition, she acts as counsel for several investment dealers on both corporate finance and mergers and acquisitions transactions. Andrea’s practice is international in scope, and she has extensive experience as a trusted advisor on complex domestic and international cross-border transactions spanning several sectors, including mining, cannabis, technology, agriculture, online gaming, cryptocurrency and biopharmaceutical. In addition to her transactional practice, Andrea regularly advises clients on ongoing securities regulatory compliance matters. Andrea also has experience advising boards of directors and special committees on corporate governance and compliance. Andrea is an active member of the firm’s Mining, Cannabis and High Growth & Venture Capital & Technology groups.

Andrea has been a course leader and speaker for Federated Press on securities compliance. She has been a presenter on corporate governance matters as well as preparing for a going-public transaction at TSX Ignite events targeted at emerging small- and medium-sized enterprises. She has lectured in Latin America on North American capital markets and lectures as an adjunct professor on mining corporate finance at Western University Law School. She is listed as a leader in her field by Best Lawyers in Canada and the Canadian Legal Lexpert Directory.
